Company Secretarial Manager (Listed Company)

Our client is a world-renowned luxury manufacturing company with a global presence. We are assisting them in the search for a Company Secretarial Manager to join their growing team.

Position Overview

  • This role is to oversee all company secretarial functions across its group entities. This is an individual contributor role, requiring a seasoned professional who can manage statutory compliance, corporate governance, and board support for both local and overseas companies, including a listed entity.

Position Responsibilities

Corporate Governance & Compliance

  • Act as the primary company secretary for the group's Hong Kong entities and coordinate with overseas company secretaries
  • Ensure compliance with Hong Kong Companies Ordinance, Listing Rules, and other relevant regulations.
  • Maintain statutory records, registers, and filings for local and overseas companies.

Board & Shareholder Support

  • Organize and manage Annual General Meetings (AGMs) and board meetings, including preparation of agendas, minutes, resolutions, and chairman's scripts.
  • Draft and manage announcements, circulars, and filings (e.g., director changes, disclosures).
  • Provide guidance to directors and senior management on corporate governance matters.

Regulatory Filings & Liaison

  • Handle all regulatory filings with HKEX, SFC, and Companies Registry.
  • Liaise with external regulators, auditors, and legal advisors when necessary.

Strategic Advisory

  • Advise the Board on corporate governance best practices.
  • Support corporate restructuring, mergers, acquisitions, and other strategic initiatives.

Position Requirements

  • Minimum 8 years of company secretarial experience, with solid exposure to listed companies.
  • Associate member or above of HKCGI (The Hong Kong Chartered Governance Institute) or equivalent professional qualification.
  • Strong knowledge of Hong Kong Listing Rules, Companies Ordinance, and corporate governance practices.
  • Proven ability to work independently and handle multiple entities.
  • Detail-oriented, organized, and able to manage tight deadlines.
  • Flexible and willing to learn, good team player and self-motivated with a strong sense of responsibility
  • Excellent communication skills in English, Cantonese & Mandarin.
