Company Secretary Manager - Listed Company

We are partnering with a prominent Hong Kong-listed group with a diverse portfolio to hire a Company Secretarial Manager for their growing team.

This role offers an exceptional opportunity to oversee complex group structures and lead corporate governance initiatives at a strategic board level.

Responsibilities:

  • Execute comprehensive company secretarial duties for the group, including one listed entity and over 100 private onshore and offshore subsidiaries.

  • Lead the coordination and execution of Annual General Meetings (AGMs) while drafting directors' reports, interim reports, and regulatory announcements.

  • Manage statutory compliance and regulatory filings in strict accordance with the Hong Kong Companies Ordinance and HKEX Listing Rules.

  • Supervise and mentor junior team members, ensuring high-quality administrative and professional support for board-level activities.

  • Oversee the group's intellectual property portfolio, including trademark applications, registrations, and potential infringement legalities.

  • Draft and review legal documentation for strategic corporate projects such as mergers and acquisitions, share restructurings, and allotments.

  • Act as a central liaison point for internal stakeholders and external counsel to consolidate complex project reports and contracts.

Requirements:

  • Possess a Bachelor's degree in a relevant discipline with at least 5 years of company secretarial experience with at least 2 years in a listed company.

  • Mandatory experience working directly within a listed company; candidates solely from professional firms will not be considered.

  • Associate Membership of The Hong Kong Chartered Governance Institute (HKCGI) is required.

  • Demonstrated ability to manage large-scale operations, specifically overseeing 100+ entities across China, Hong Kong, and offshore jurisdictions.

  • Profound knowledge of the Cayman Act, Listing Rules, SFO, and best practices in corporate governance.

  • Native or near-native fluency in Mandarin is essential for board-level communication, alongside excellent English and Cantonese.

  • Previous exposure to the retail sector or large-scale infrastructure projects is highly advantageous.
