Assistant Company Secretary - Listed Group

We are partnering with a well-established, HK-listed corporate group to hire an Assistant Company Secretary for their growing team. This position offers high independence in managing full-spectrum secretarial and corporate governance matters for the listed entity and its international subsidiaries.

Responsibilities:

  • Manage the full spectrum of company secretarial and corporate governance duties independently for the main listed entity and global subsidiaries.

  • Prepare annual and interim reports, ESG publications, regulatory announcements, circulars, and statutory returns in compliance with HKEX Listing Rules and the SFO.

  • Oversee and ensure proper, timely compliance with all ongoing regulatory disclosure, reporting, and statutory filing requirements.

  • Organize Board meetings, Board Committee meetings, and Shareholders' General Meetings, including drafting agendas, board papers, and resolutions.

  • Maintain corporate governance policies, compliance records, and official company secretarial registers using CSA software.

  • Collaborate closely with internal teams (Finance, Corporate Communications) and external advisers or consultants on ESG and governance projects.

  • Handle statutory filings and annual returns across offshore jurisdictions, including Bermuda, BVI, the UK, and North America.

Requirements:

  • Degree holder and Associate Member of HKCGI / CGI (HKICS) or equivalent chartered status.

  • Minimum 5 years of post-qualification company secretarial experience, with at least 3 years of hands-on exposure gained within HK-listed companies.

  • Solid practical knowledge of the HKEX Listing Rules, Securities and Futures Ordinance (SFO), and Companies Ordinance.

  • Strong proficiency in MS Office suite, Chinese word processing, and standard company secretarial software (CSA).

  • Excellent command of written and spoken English and Chinese; fluency in Mandarin is advantageous.

  • Highly detail-oriented, self-motivated, and capable of handling complex corporate governance matters independently.
